Thierry Guilbert has tendered his resignation today with immediate effect as a member of the Supervisory Board of the Company. Given his other executive commitments, Mr Guilbert does not consider that he can focus his efforts sufficiently on the Group at this critical time. The Supervisory Board continues to keep the governance of the Group under review. A number of candidates are currently being considered to strengthen the independence of the Supervisory Board of the Company. Ms. Heather Sonn, acting chairperson of Steinhoff International Holdings N.V., commented “The Supervisory Board recognises the importance of ensuring the Board continues to have the appropriate blend of skills and experience to help maximise the potential of the Steinhoff businesses.”

In accordance with paragraph 3.59(b) of the Listings Requirements of the JSE Limited, shareholders are advised that Mr Stephanus Johannes Grobler and Ms Mariza Nel have resigned as directors of the Company with immediate effect. Mr Louis du Preez and Mr Frans Johannes Geldenhuys, have been appointed as directors of the Company with immediate effect.
