ams: ams, a leading worldwide supplier of high performance sensor solutions, announced today the successful pricing of Euro 650 mn aggregate principal amount of senior notes due 2025 at a coupon of 6.00% per annum and of USD 400 mn aggregate principal amount of senior notes due 2025 at a coupon of 7.00% per annum, in connection with the proposed acquisition of Osram Licht AG. ams intends to use the proceeds from the offering of the Notes, together with the proceeds of the rights offering which closed on 3 April 2020, to finance the proposed acquisition of Osram, finance or refinance the purchase of other Osram shares, to refinance certain existing indebtedness of Osram and its subsidiaries and/or ams and its subsidiaries and to pay certain fees and expenses. The offering of the Notes is expected to close and the Notes are expected to be issued on or around 6 July 2020.

Palfinger: Palfinger’s marine business secured an order for two jetty cranes, which have recently been installed in Vlissingen, the Netherlands, at the maintenance base for the new Borssele 1 and 2 offshore wind farm. While the wind farm is still under construction, the base has already commenced operations. For the 2,100 sqm maintenance base at the North Sea Port, the project initiator Ørsted, a Danish power company, commissioned renowned equipment suppliers to guarantee optimal working conditions. This is where Palfinger's marine solutions came into play, by securing an order for the delivery of two jetty cranes. The installation of the two reliable PTM600 telescopic boom cranes is completed, and operations have recently started. From now on, the Palfinger cranes ensure safe, smooth and efficient material handling when loading and unloading cargo on and off Crew Transfer Vessels (CTVs). The cranes have a safe working load (SWL) of 2 tons and an outreach of 17.7 meters.

S&T: IT company S&T AG signed contracts for the acquisition of Iskratel Group, one of the leading providers of information and communications technology (ICT) for operators of telecommunications, railway and energy networks as well as its solutions in the industrial automation sector. Iskratel Group generated sales of Euro 115 mn and a slightly positive result. Originally a provider of telecommunications solutions with full range portfolio for optical access solutions, IMS core and edge networks, critical communications and safe city solutions, Iskratel Group has meanwhile developed into a software provider of complex IIOT applications, including 5G systems. It is the developments in IIOT software, and 5G applications in particular, that complement and strengthen the S&T product range. The acquired 5G know-how and the solutions based on it can be combined with established S&T products in the smart industry sector such as SusieTec. The roll-out of 5G equipment on high-speed trains can also be advanced while strengthening the transport business. This is an area where S&T Group has already implemented joint projects with Iskratel in Slovenia. Further synergies will open up in areas such as, sourcing, manufacturing and sales, with S&T providing Iskratel access to the Western European market. In return, S&T can draw on approximately 500 cost-efficient software engineers and excellent long lasting Iskratel's reputation in Adriatic and Eastern Europe. The fixed purchase price of Euro 37.5 mn corresponds to a revenue multiple of around 0.35. Variable purchase prices were also agreed depending on future profit developments. The transaction is scheduled for closing in autumn 2020, once all official approvals have been obtained.
